These Terms govern your use of Trace UTM (the "Service"), operated by ApnaKey Ltd ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

2. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you confirm you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other organisation, you confirm you have authority to bind that organisation to these Terms.
3. Your account
You may create an account using Google Sign-In or other authentication methods we support. You are responsible for keeping your account credentials secure and for all activity under your account. Notify us at info@apnakey.com if you suspect unauthorised access.
4. The Service
Trace UTM lets you generate, save, and organise UTM-tagged campaign URLs, and (where you connect a GA4 property) view campaign analytics alongside those URLs. Features are provided "as is" and may be updated, modified, or discontinued at our discretion.
5. Free and Paid plans
Free: you may use the URL generator without an account. With a free account, you can save up to 3 campaigns and access basic features.
Pro: £5 per month billed annually (£60 per year) or £7 per month billed monthly. Pro removes the campaign storage limit and unlocks analytics features. All prices are in GBP and exclude VAT or sales tax where applicable, which will be added at checkout.
Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method automatically at the start of each billing cycle until you cancel.
6. Auto-renewal and cancellation
Subscriptions renew automatically at the end of each billing period at the then-current rate. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until that date. We do not provide pro-rated refunds for partial periods, except as required by law (see section 7).
7. Refunds and the right to cancel
If you are a consumer based in the UK or EU, you have a 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or equivalent EU law.
Important — digital services waiver: by activating any paid feature (including but not limited to the AI campaign assistant, GA4 connection, or saving more than 3 campaigns) during the 14-day cancellation period, you expressly request that we begin supplying the digital service immediately and acknowledge that you will lose your right to cancel once the service has been fully supplied during that period.
If you cancel within 14 days and have not used any paid features, contact info@apnakey.com for a full refund.
Outside this 14-day window, we do not provide refunds for unused portions of subscriptions, unless required by law.
8. Acceptable use
You agree not to use the Service to:
- generate UTM links pointing to unlawful content, phishing pages, malware, or content that infringes intellectual property
- harass, defame, or violate the rights of others
- attempt to gain unauthorised access to the Service, other users' accounts, or our infrastructure
- circumvent any access or usage limits, or share a single account across multiple users
- send unsolicited bulk messaging ("spam") using links generated through the Service
- reverse-engineer, decompile, or copy the Service, except as permitted by law
- resell or sublicense the Service without our written permission
- use the Service to build, train, or improve a competing product
We may suspend or terminate accounts that violate these rules.
9. Your content
The campaigns, URLs, and other content you create remain yours. You grant us a non-exclusive, worldwide licence to host, store, and display your content solely to provide the Service to you. This licence ends when you delete your content or close your account, subject to the retention periods in our Privacy Policy.
10. Our content
The Service itself, including templates, presets, UI, code, and branding, is owned by ApnaKey Ltd and protected by intellectual property law. You receive a limited, non-transferable, revocable licence to use the Service in accordance with these Terms.
11. Third-party services
The Service integrates with third-party providers including Google (Analytics, OAuth), Stripe, and third-party AI providers. Your use of these integrations is also governed by the relevant third party's terms and privacy policy. We are not responsible for third-party services.
12. AI features
The Service may offer AI-generated suggestions (campaign naming, parameter suggestions, etc.). AI output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI output before relying on it. We make no warranty as to the accuracy of AI-generated content.
When you use AI features, your inputs may be processed by third-party large language model providers as described in our Privacy Policy. Do not enter personal data, confidential information, or other sensitive content into AI prompts unless you are comfortable with that data being processed by these providers.
13. Service availability
We aim to keep the Service available but do not guarantee uninterrupted operation. The Service is provided without a formal service-level agreement on current plans. We may perform maintenance or updates that temporarily limit access.
14. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law. This does not affect your statutory rights as a consumer.
15. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.
We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, business opportunities, or goodwill.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
16. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
17. Termination
You may close your account at any time. We may suspend or terminate your account if you breach these Terms or if we are required to by law. On termination, your access ends and your data is deleted in accordance with our Privacy Policy.
18. Changes to these Terms
We may update these Terms. Material changes will be notified to you by email or via the Service at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.
19. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may bring claims in their country of residence under applicable law.
